On Tuesday 29 May, The FA Shareholders meeting voted by a majority of 78.5% to implement the Structural Review.

As a result, The FA will become a more modern, effective and representative governing body for English football, with a streamlined decision-making processes.

The main changes are outlined below:

FA Board

  • The newly constituted FA Board will meet for the first time in August 2007
  • The Professional and National Game will each have 5 Main Board members
  • The Professional Game will be represented by three Premier League members and two Football League members
  • From the Summer Meeting in 2008, the Independent Chairman and the Chief Executive will have voting rights on the Main Board
  • The Chairman will also be the Chair of Council

Independent Chairman

  • Will be appointed by Council and may be removed by a vote of Council
  • Term of office of 3 years, with further term of 3 years maximum
  • Part time, non-executive Chairman

Professional Game Board (PGB) and National Game Board (NGB)

  • The PGB and NGB are sub committees of the Main Board. They deal only with matters delegated by the Main Board and report to the Main Board
  • The FA Cup Committee and the International Committee will be part of the PGB. But all issues relating to raising of income, broadcasting, sponsorship, prize funds, structure of the competition, fixture calendar, selection of coaches, are all matters that remain the remit of the Board.
  • NGB responsibilities include significant delegated budgetary authority for the National Game part of FA distributions, subject to overall principles set by and oversight by the Main Board

Expanded FA Council

  • The FA Council will be expanded to become more representative of the game. The changes to representation are noted below, and will be phased in over the coming months.
  • FA Premier League- 8 members
  • Football League – 8 members
  • Women’s football – 2 members
  • Football Conference – 2 members
  • Isthmian League - 1 member
  • Northern Premier League - 1 new member
  • Southern League – 1 new member
  • PFA - 1 new member
  • LMA- 1 new member
  • Race Equality Advisory Group- 1 new member
  • Disability Advisory Group- 1 new member
  • Supporters – 1 new member
  • Referees – 1 new member

Shareholders AGM

  • No change to the rights powers and duties of the Shareholders
  • National Game has a "special share" veto over the same matters as the Professional Game

Football Regulatory Authority

  • The FA’s regulatory activities will be structured under the umbrella of a new semi-autonomous Football Regulatory Authority (FRA), which will oversee this area and report into the FA Council rather than the Main Board
  • The FRA will ultimately be composed of 12 members: 4 from the Professional Game, 4 from the National Game, and 4 independents, including members with financial and legal expertise.
  • There will be a separate Judicial Panel from which the people who will sit on Commissions and Appeal Boards will be drawn. They will be a mix of FA Council members, specialists (financial, legal, etc.), and former players, managers, referees and administrators.

Funding Formula

  • Provides all constitutional certainty over distribution of FA’s resources
  • Locks in current National Game/Professional Game split of distributions as at 31 Dec 2006
  • Board to reserve no more than a stated percentage of profit before distribution
  • Any increases to distributions after 1st Jan 2007 to be split 50/50 between National Game and Professional Game
